6. Nutrition, Health & Allergen Safety (Critical Disclaimers)
IMPORTANT: Please Read Carefully
Educational Use Only. The App provides general meal-planning suggestions and nutrition information for educational purposes only. The App does not provide medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional for dietary guidance, food allergies, or medical conditions.
Allergen & Ingredient Responsibility. You are solely responsible for verifying ingredients, food safety, and allergens before consuming any item or preparing any recipe suggested by the App. Allergen, ingredient, cross-contact, and nutrition data may be incomplete, inaccurate, or change without notice. Data often originates from third-party dining providers. Always verify on-site signage, official menus, and staff. Use your best judgment and consult a medical professional if you have allergies or dietary needs.
No Warranties on Nutrition Data. Nutrition calculations are estimates and may not be precise.
Assumption of Risk. By using the App, you acknowledge and assume all risks associated with dietary choices and food consumption.
7. AI Outputs & Limitations
The App may generate AI-assisted content (e.g., meal plans, suggestions). AI outputs can be incorrect, incomplete, or inappropriate and are provided "as is." You should review and make your own decisions; do not rely solely on AI outputs for health, safety, or allergy decisions.
8. User Content & License
If you submit, upload, or create content in the App (e.g., preferences, notes, meal ratings) ("User Content"):
- You retain ownership of your User Content.
- You grant Unimeals a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, use, reproduce, modify, adapt, publish, and display your User Content solely to operate, improve, and provide the Service.
- You represent you have all rights necessary and that your User Content does not infringe third-party rights or violate the law.
- We may remove or disable User Content that violates these Terms.
9. Intellectual Property; License to the App
The App and its content (software, UX, text, graphics, logos, algorithms) are owned by Unimeals and protected by IP laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App on Apple-authorized devices you own or control, for your personal, non-commercial use. We reserve all other rights.
10. Third-Party Services & Data Sources
The App may integrate or link to third-party services (e.g., campus dining systems, OpenAI, OAuth providers). We don't control and aren't responsible for these services' availability, accuracy, or policies. Your use of third-party services is governed by their terms and privacy policies.
11. Privacy
Your use of the App is also governed by our Privacy Policy, which explains what data we collect and how we use it. By using the App, you consent to the practices described there.
12. Communications
By creating an account, you may receive service-related communications (e.g., account, security, subscription notices). Where required, we'll seek your consent for marketing communications; you can opt out as described in those messages.
13. DMCA / IP Concerns
If you believe content in the App infringes your copyright, please email support@unimeals.io with "DMCA" in the subject and include: (a) your contact info; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that your notice is accurate and you're authorized to act; and (f) your physical or electronic signature.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIMEALS AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, that data will be accurate, or that defects will be corrected.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- UNIMEALS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL.
- FOR ALL CLAIMS IN THE AGGREGATE, OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID TO UNIMEALS FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
These limitations apply even if we were advised of the possibility of damages and regardless of the legal theory.
16. Indemnification
You agree to defend, indemnify, and hold harmless Unimeals, its affiliates, and their officers, directors, employees, and agents from any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.
17. Changes to the Service and to these Terms
We may modify or discontinue aspects of the Service at any time. We may update these Terms from time to time. For material changes, we will notify you (e.g., in-app or via email) at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
18. Suspension & Termination
You may cancel your subscription and/or delete your account at any time (see Section 4 for subscription cancellation). We may suspend or terminate your access for any violation of these Terms, suspected fraud, security risks, prolonged inactivity, or where required by law. Upon termination, the license granted to you ends.
19. Governing Law; Arbitration; Class-Action Waiver
Governing Law. These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules (unless the law of your state requires otherwise).
Binding Arbitration. Except for claims that qualify for small-claims court or for claims seeking injunctive relief for IP infringement, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The seat of arbitration will be Travis County, Texas, and you and Unimeals agree to conduct proceedings remotely where feasible. The arbitrator's decision will be final and enforceable in any court with jurisdiction.
Class-Action Waiver. You and Unimeals agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
30-Day Opt-Out. You may opt out of arbitration and the class-action waiver by emailing support@unimeals.io within 30 days of first accepting these Terms, stating your full name, the email associated with your account, and a clear request to opt out. Opting out will not affect other provisions of these Terms.
20. Export & Geographic Restrictions
You may not use or export the App in violation of U.S. export laws or other applicable laws. We may limit availability of the Service in certain locations. You are responsible for complying with local laws where you use the App.
21. Severability; Entire Agreement; Assignment
If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable; the remainder stays in effect. These Terms constitute the entire agreement between you and Unimeals regarding the Service and supersede prior agreements relating to the Service. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
